These Terms & Conditions (“Terms”) govern your access to and use of www.searchvisibly.com (the “Site”) and any products or services offered by SearchVisibly.com (“SearchVisibly,” “we,” “us,” or “our”). By using the Site or engaging our services, you agree to these Terms.

1) Acceptance of Terms

By accessing the Site or purchasing/using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or services.

2) Changes to Terms

We may update these Terms from time to time. The “Effective date” above reflects the latest revision. Your continued use of the Site or services after changes are posted constitutes acceptance of the updated Terms.

3) Site Content & Intellectual Property

All content on the Site—including text, designs, graphics, images, videos, icons, software, code, blog posts, and the Site’s look and feel—is the exclusive property of SearchVisibly.com or its licensors.
You may not copy, reproduce, modify, upload, post, transmit, sell, or distribute any content without prior written consent.

“SearchVisibly” and related marks are trademarks of SearchVisibly.com. You may not use our marks without written permission.

4) Use of the Site

You agree not to misuse the Site, interfere with its security, attempt unauthorized access, or use it for unlawful purposes. We may suspend access for any violation.

5) Proposals, Orders & Scope of Work

Services may be defined in written quotes, order forms, or statements of work (SOWs). If a conflict exists, the SOW controls for the specific project.

6) Fees, Billing & Taxes

Fees are due in advance unless otherwise stated. You are responsible for applicable taxes except those on our net income. Late payments may result in service pauses or termination.

7) Refund Policy Active Projects

If you stop services during an active project, we refund the unused portion on a pro-rata basis. Work already completed or resources allocated are non-refundable.

Projects 90 Days Old or More

Payments made 90+ days ago are not eligible for refunds (partial or full).

Prepaid Plans

Prepaid plans can be canceled early and refunded pro-rata based on the original undiscounted rate.

Example:
Upfront paid: $8,040
Standard monthly rate: $1,000
Months used: 6
Refund = 8,040 − 6,000 = $2,040

General rule

Refund = Amount Paid − (Months Used × Standard Rate)

Refunds are issued to the original payment method within 3–5 business days after approval.

Complete Refund Requests

Email info@searchvisibly.com for evaluation on a case-by-case basis.

8) “100% Guarantee” (If Applicable)

If an SOW includes a written “100% guarantee” for an SEO project and the ranking requirement is not met after all deliverables are completed, we will waive fees and refund payments for that project. Terms must be in writing in the SOW.

9) Recurring Payment Policy

Ongoing marketing services (SEO, PPC, social, reputation, etc.) are billed on monthly and/or prepaid recurring cycles. Some web development services may also be billed monthly.

10) Client Feedback & Approval

Projects require timely client feedback.
If no feedback is received within 30 days (or by the project completion date), SearchVisibly.com may retain fees due to resource allocation. Partial refunds may be considered, but full refunds are not available.

11) Right to Refuse

We may refuse, pause, or terminate services at our discretion, including violations of these Terms or applicable laws.

12) Disclaimers & Limitations on Liability Website Performance

We do not guarantee rankings, traffic, conversions, or revenue unless explicitly stated in a signed SOW.

Client Website Changes

Unauthorized changes during active campaigns may negatively affect performance. We are not responsible for resulting losses.

Search Engine Penalties

SearchVisibly.com is not responsible for penalties imposed by search engines.

Web Development Work

Client must maintain backups and provide proper access. We are not liable for data loss or indexing issues.

Third-Party Tools

We are not responsible for third-party platforms, tools, or policy changes.

Warranty Disclaimer

All services are provided “AS IS” and “AS AVAILABLE” unless otherwise stated in writing.

Liability Cap

OUR MAXIMUM LIABILITY IS LIMITED TO THE TOTAL AMOUNT YOU PAID TO SEARCHVISIBLY.COM IN THE 3 MONTHS PRIOR TO THE CLAIM.
We are not liable for indirect, consequential, incidental, punitive, or special damages.

13) Google Business Profile (GBP) Setup & Recovery Eligibility

Applies only to new GBP accounts.

Documentation

Clients must supply valid documents for verification.

Video Verification

Google may require a video call; clients must complete this step directly with Google.

Support Window

GBP setup includes 30 days of support. Violations of Google’s guidelines void this support window.

Suspensions

Clients must follow instructions and provide necessary information; delays caused by client inaction are not our responsibility.

14) Access to Client Dashboard

Dashboard/tool access is provided only to active clients and may be revoked upon cancellation or misuse.

15) Image & Asset Policy

All images and assets used are properly licensed unless the client purchases exclusive rights. Unauthorized reuse is prohibited.

16) Indemnification

You agree to indemnify, defend, and hold harmless SearchVisibly.com, its employees, contractors, and affiliates from any claims or damages arising from:
a) your use of the Site/services,
b) materials or content you provide,
c) your breach of these Terms or applicable law.

17) Force Majeure

We are not responsible for delays caused by events outside our control, including natural disasters, outages, cyberattacks, or platform disruptions.

18) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA (updated to match your company location).

Before filing a claim, parties must attempt resolution in good faith via info@searchvisibly.com.
Unresolved disputes will be handled through Alternative Dispute Resolution (ADR) via the American Arbitration Association (AAA).
Parties share administrative costs unless otherwise required.

Small-claims court and injunctive relief are permitted where legally allowed.

19) Miscellaneous

Severability: Invalid sections do not impact the remainder.
No Waiver: Not enforcing a right is not a waiver.
Assignment: You may not assign these Terms; we may assign to affiliates or in connection with mergers/acquisitions.
Entire Agreement: These Terms + applicable SOW + Privacy Policy constitute the entire agreement.
Notices: You agree to receive notices electronically or via posting on the Site.
